Clipy AI is an AI-powered content creation platform operated by DeFiner Tech Ltd, a company registered in Hong Kong SAR. The platform analyzes publicly available video content, extracts performance patterns, and generates platform-optimized scripts and content strategies using artificial intelligence.

2. Acceptance of Terms

By creating an account or using Clipy AI, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the service. We reserve the right to update these terms at any time. Continued use after changes constitutes acceptance.

3. Account Terms

• You must provide accurate and complete registration information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must be at least 18 years of age to create an account.
• One person or entity may not maintain more than one account.
• You are responsible for all activity that occurs under your account.

4. Acceptable Use

You agree not to use Clipy AI to:

• Generate content that infringes on third-party intellectual property rights.
• Produce misleading, defamatory, or harmful content.
• Violate any applicable laws or regulations.
• Reverse-engineer, decompile, or attempt to extract the source code of the service.
• Resell, sublicense, or redistribute access to the service without authorization.

5. AI-Generated Content Disclaimer

Content generated by Clipy AI is produced by artificial intelligence and is provided for informational and creative purposes only. AI-generated content:

• Does not constitute legal, financial, medical, or professional advice.
• May contain inaccuracies or errors and should be reviewed before publication.
• Should be verified for factual accuracy by the user before use.
• Is generated based on patterns from analyzed content and may not be entirely original.

You are solely responsible for reviewing, editing, and publishing any content generated through the platform.

6. Intellectual Property

You retain ownership of any original content you input into Clipy AI. AI-generated outputs are provided to you under a non-exclusive license for your personal and commercial use. Clipy AI and DeFiner Tech Ltd retain all rights to the platform, its algorithms, models, and underlying technology.

7. Limitation of Liability

To the maximum extent permitted by law, Clipy AI and DeFiner Tech Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the service. Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We reserve the right to modify, suspend, or discontinue the service at any time with reasonable notice. Scheduled maintenance windows will be communicated in advance when possible.

9. Termination

Either party may terminate this agreement at any time. You may delete your account through the settings page. We may suspend or terminate accounts that violate these terms. Upon termination, your right to use the service ceases immediately, though we will provide a reasonable period for data export.

10. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.
